1. Confidential Information and Intellectual Property
OGCI Climate Investments and its members and affiliates (“the Company”) do not wish to receive or hold any submitted materials “in confidence”. It is agreed that no confidential relationship or obligation of secrecy is to be established between the submitter and the Company with respect to the submitted ideas and materials (“Content”). It may be necessary to refer Content to a number of persons in the Company and/or third parties, therefore secrecy cannot be promised. The submitter agrees that the Company is not bound by restrictions on use or disclosure of submitted Content, except for claims arising under patents, and the Company is free to use the Content. You grant to us, and others acting on our behalf, the worldwide, non-exclusive, perpetual, irrevocable, royalty-free, sublicensable, transferable right to use, exercise, commercialise and exploit the copyright, publicity, trademark, and database rights with respect to your Conten. Your Content will not contain third-party copyrighted material, or material that is subject to other third-party proprietary rights, unless you have permission from the rightful owner of the material, or you are otherwise legally entitled to post the material (and to grant the Company all the license rights outlined here). If the Company exploits or makes use of your submission in the ways contemplated in this submission, you promise that this will not infringe or violate the rights of any third party, including (without limitation) any privacy rights, publicity rights, copyrights, contract rights, or any other intellectual property or proprietary rights.
2. Other rules for submission
You are responsible for your registration. If you find out that someone has submitted your information without permission, you should report it to email@example.com. To register a submission, you need to be at least 18 years old, or old enough to form a binding contract where you live. If necessary, we may ask you for proof of age. Both the Company and you agree to comply with all applicable data protection legislation. You agree that the Company may process any personal data contained in your submission as is reasonably necessary for the purposes of considering your submission for the Venture Day. The Company will take all reasonable technical and organisational steps to protect personal data in your submission against unauthorised or unlawful processing or accidental loss or destruction. Note that by accepting your submission, the Company is not entering into any contractual relationship with you. The Company is not liable for any damages or losses related to your submission. When making your submission, you release the Company from claims, damages, and demands of every kind — known or unknown, suspected or unsuspected, disclosed or undisclosed — arising out of or in any way related to such disputes and the submission. To the fullest extent permitted by law, in no event will the Company, its directors, employees, partners, suppliers, or content providers be liable for any indirect, incidental, punitive, consequential, special, or exemplary damages of any kind, including but not limited to damages (i) resulting from your submission; (ii) for any lost profits, data loss, or other indirect damage. In no event shall the Company’s liability for direct damages be in excess of (in the aggregate) one hundred pounds sterling (GBP 100.00). This agreement, and the relationship established hereunder, shall be interpreted and construed in accordance with the internal laws of England and Wales.
